Rhoads & Sinon LLP’s Employee Benefits Practice has a special expertise in the area of employee stock ownership plans “ESOPs” and equity performance based incentive plans “EIP”.

Drake Nicholas, who leads this practice area, has worked with private and public companies in all facets of ESOP’s and EIPs for over 20 years and regularly serves as special advisor or legal counsel to other professional advisors as a result of his special concentration and experience in ESOPs and EIPs.

The firm’s ESOP and EIP practice is experienced in feasibility and design of ESOP and EIP plans as well as providing counsel and advise in the implementation and financing of ESOP programs.

Because ESOPs require expert knowledge in different legal disciplines, whether, tax, ERISA, commercial law, securities law, or transition and estate planning, the firm is able to provide public or private companies, owners, management groups or acquirers with the expertise necessary to make all pieces of the puzzle fit in place.

Drake Nicholas also serves as an independent trustee in certain ESOP transactions requiring the perspective of an experienced, independent fiduciary. The firm’s ESOP and EIP practice is also regularly involved in designing all types of equity incentive compensation plans, such as restricted stock plans, phantom stock plans and equity based deferred compensation plans to name few.
